Terms of Service

Effective August 2, 2026 · Pilot version — these terms govern the free pilot and will be reviewed with counsel before paid general availability.

1 · The agreement

By creating an account or using KAM — The Virtual CFO (“KAM”), published by TearTech (“we,” “us”), you agree to these terms and to the Privacy Policy. If you use KAM for an organization, you represent that you are authorized to bind it.

2 · What KAM is — and is not

KAM is CPA-designed financial-diagnostic software. It is not a CPA firm and does not provide professional services: no audit, review, compilation, or attestation engagement, and no tax, legal, or investment advice. Findings, proposed journal entries, scores, and scenarios are software-generated analysis of the data you provide and must be reviewed by a licensed CPA or other qualified professional before you rely on or act on them. The Professional Limitations page is part of these terms. KAM never posts entries into your accounting system.

3 · Your data

You own the files and financial data you upload. You grant us a limited license to host and process them solely to provide the service to you. You are responsible for having the right to upload the data you submit (including, for bookkeepers and firms, authority from your clients) and for the accuracy of what you provide — KAM's output is only as good as its inputs.

4 · Acceptable use

Don't attempt to access other organizations' data, probe or overload the service, upload malicious files, reverse-engineer non-public components, or use KAM to violate any law. We may suspend accounts that do.

5 · The pilot

During the pilot, KAM is provided free of charge, capacities are limited, and features may change or be withdrawn. Published prices are pilot targets; no charges apply until paid plans launch with their own order terms. We may modify these terms as the product evolves — material changes will be posted here with a new effective date, and continued use after notice constitutes acceptance.

6 · Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT KAM WILL DETECT EVERY ERROR IN YOUR BOOKS OR THAT OUTPUT WILL BE ERROR-FREE.

7 · Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE IS LIMITED TO THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM OR, DURING THE FREE PILOT, ONE HUNDRED U.S. DOLLARS. Some jurisdictions do not allow certain limitations; in those, these limits apply to the fullest extent permitted.

8 · Termination

You may stop using KAM and delete your account at any time. We may suspend or terminate pilot accounts for breach of these terms. Sections 2, 3, 6, 7, and 9 survive termination.

9 · Governing law

These terms are governed by the laws of the State of California, without regard to conflict-of-laws rules, and disputes will be resolved in the state or federal courts located in California. Questions: legal@teartech.com.
